Substantial Issuer Bid - Paid-Up Capital

Any terms used in this section which are denoted with an initial capital letter but are not defined in this section have the meaning given to such term in the SIB Circular.

The paid-up capital per Magna Class A Subordinate Voting Share on the Expiration Date was Cdn.$41.68. Based on the Bank of Canada noon rate on September 25, 2007 of U.S.$1.00 equals Cdn.$1.0010, the U.S. equivalent is U.S.$41.64.
