Future Mobility Disruptor Contest Official Rules
SPONSOR AND APPLICABILITY
The Magna International Future Mobility Disruptor Contest (the “Contest”) is sponsored by Magna International Inc. (“Sponsor”). The Contest is governed by these official rules (“Official Rules”). By participating in the Contest, each entrant agrees to abide by these Official Rules, including all eligibility requirements, and acknowledges and agrees that the results of the Contest, as determined by Sponsor and its agents, are final in all respects. The Contest is subject to all federal, state and local laws and regulations and is void where prohibited by law.
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN
No purchase or payment of any kind is necessary to enter or win, or otherwise associated with, this Contest. A purchase or payment of any kind will not improve or alter the chances of winning.
ELIGIBILITY
The Contest is open to all start-up entities exhibiting at 2019 TechCrunch Disrupt San Francisco (“TechCrunch Exhibitors”). For the purpose of these Official Rules, an eligible applicant will be referred to as an “entrant.”
SUBMISSION PERIOD
The submission period begins August 12, 2019 at 12:01AM PST and ends October 3, 2019 at 11:59PM PST. All entries must be received by the end of the submission period. Sponsor reserves the right to extend or shorten the submission period at its sole discretion.
Entrants grant the Sponsor permission to contact them using the information provided on the Contest entry form, including the entrant’s name, address, email address, and phone number.
HOW TO ENTER
Each entrant must fill out all required fields on the entry form and agree to the Official Rules to participate in the Contest. All entrants MUST follow these outlined submission guidelines:
- Go to the Contest website at magna.com/FutureMobilityDisruptorAward. Fill out all required fields on the entry form, agree to the Official Rules, provide your written description and any media links, and click SUBMIT.
- Entrants will receive e-mail confirmation once the entry is received.
ADDITIONAL CRITERIA
All entries must also meet the following listed requirements:
- Must not violate or infringe the rights of others including, without limitation, patent, trademark, trade secret, copyright, right of publicity, privacy or other proprietary rights (see “Warranty” Section below for more details);
- Must not be unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, or contain explicit or graphic descriptions or accounts of sexual acts, or otherwise contain any other content that, in Sponsor’s sole discretion, is objectionable;
- Must not victimize, harass, degrade, or intimidate an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age or disability;
- Must not contain an advertisement or solicitation not affiliated with the Sponsor; and
- Must not contain any musical recording, imagery, content, or other element that is owned by a third party without being sourced.
The above list is not intended to be exhaustive. If any entry includes any of the prohibited elements above or is deemed by the Sponsor or judges to be offensive, obscene or unsuitable for any reason, the entry will be disqualified along with the entrant that submitted it.
Entries will be considered void and disqualified if they are in whole or in part incomplete, contain a virus, are forged, or are mechanically reproduced or obtained through fraud, theft or misappropriation.
WINNER SELECTION
Judging will be conducted by a panel of personnel selected at Sponsor’s discretion. The judging panel will select the winning entry taking into account the technology that shows, in the judging panel’s sole discretion, the highest likelihood of making a positive impact on future mobility.
One prize winner will be selected out of all entries received during the submission period.
All entries are deemed submitted by the authorized account holder of the e-mail address and phone number that are submitted on the entry form. Entrants are responsible for monitoring their accounts for notifications related to this Contest.
Upon the request of the Sponsor, entrants may be required to review and sign an Image Use Release, a Video / Media Use Release, Prize Acceptance Form and/or other documents. If a potential prize-winner fails to comply with these Official Rules, that potential prize-winner will be disqualified.
PRIZES
The judging panel will select one winner who will receive a prize of USD $10,000 (“Cash Prize”). The Sponsor will contact the winner using the information provided on the Contest entry form to arrange for delivery of the Cash Prize by check, wire transfer or other means selected by Sponsor in its sole discretion; provided, however, that the Cash Prize shall be deemed forfeited, and the Sponsor shall be relieved of its obligation to deliver the Cash Prize (to the selected winner and any and all other entrants), if the initially selected winner does not respond to Sponsor’s notice within ten (10) days of delivery thereof in a manner that facilitates delivery by Sponsor of the Cash Prize.
In addition, the Sponsor will use commercially reasonable efforts to schedule a meeting between the selected winner and the Magna R&D Innovation team by teleconference, telepresence or in person at Sponsor’s headquarters in Troy, Michigan. If such an in-person meeting is scheduled, the winner will be solely responsible for its costs and expenses in attending such meeting, including, without limitation, travel and lodging costs.
For clarity, all costs and expenses which are not specifically listed as part of a prize in these Official Rules and which may be associated with the award, acceptance, receipt and use of all or any portion of the awarded prize are solely the responsibility of the prize winning entrant.
Sponsor will report to the U.S. Internal Revenue Service the amount of the prize money awarded to the prize winner. As applicable, Sponsor will withhold federal, state, and local taxes as required by law with respect to the prize, but the prize winner is nonetheless responsible for all federal, state, and local taxes associated with such prize.
Prizes are non-transferable and may not be awarded if, in Sponsor’s sole discretion, an insufficient number of eligible entries are received. Prizes are awarded “as is” with no warranty or guarantee. By participating in the Contest, entrants agree that no member of the Sponsor Group (as defined below) will have any liability, and will be held harmless from any liability, loss, injury or damage, including, without limitation, personal injury, death or damage to personal or real property, to an entrant or any other person or entity due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of a prize or participation in the Contest.
ADDITIONAL RIGHTS GRANTED BY PRIZE WINNER
Acceptance of a Contest prize by an entrant constitutes permission by the entrant for Magna International Inc. and its related persons and entities, affiliated businesses, respective licensees, successors and assigns (collectively, the “Sponsor Group”) to use the entrant’s name, likeness and entry for purposes of advertising and promotional activities in connection with the Contest without further notice, consent or compensation, unless prohibited by law. This includes printing, publishing, broadcasting, distributing and using on a worldwide basis in any media now known or hereafter arising in perpetuity, the entrant’s name, portrait, picture, voice, likeness, image and statements about the Contest and related biographical information, as well as the entrant’s entry (collectively, the “Winner’s Identity”), as news, publicity or information for advertising, public relations and promotional purposes. Further, except where prohibited by law, by accepting any prize, the applicable winner, on behalf of itself and its related persons and entities (including, without limitation, family members) releases each member of the Sponsor Group from any claim or cause of action, whether known or unknown, for libel, slander, defamation, invasion of right of privacy, publicity or personality, or any other claim or cause of action, based upon or relating to the use of the Winner’s Identity consistent with these Official Rules.
In addition, the submission of an entry to the Contest by an entrant constitutes permission by the entrant for the Sponsor Group to use the Winner’s Identity in internal Magna-enterprise emails and on Magna’s intranet site for purposes of identifying such entrant as a Contest winner, if applicable, without further notice, consent or compensation, unless prohibited by law. This includes printing, publishing, broadcasting, distributing and using in any such email or intranet site the Winner’s Identity.
GENERAL CONDITIONS
For the avoidance of doubt, no member of the Sponsor Group undertakes any confidentiality or nondisclosure obligation with respect to any entrant, including, without limitation, such entrant’s name, portrait, picture, voice, likeness, image, statements and biographical information, or entry.
No member of the Sponsor Group is responsible for any typographical or other errors in the offer or administration of the Contest, including, but not limited to, errors in printing or posting of these Official Rules, the selection and announcement of any winner, or the distribution of any prize. No member of the Sponsor Group is responsible for any incorrect or inaccurate information, whether caused by web site users or by any of the equipment or programming associated with or utilized in the Contest.
Any attempt to damage the Contest or operation of the Contest is unlawful and subject to possible legal action by Sponsor. Sponsor reserves the right to terminate, suspend, or amend the Contest, without notice, and for any reason, including, without limitation, if Sponsor determines that the
Contest cannot be conducted as planned or should a virus, bug, tampering or unauthorized intervention, technical failure or other cause beyond Sponsor’s control corrupt the administration, security, fairness, integrity or proper play of the Contest. In the event any tampering or unauthorized intervention may have occurred, Sponsor reserves the right to void suspect entries at issue. No member of the Sponsor Group is responsible for incorrect or inaccurate transcription of entry information, or for any human error, technical malfunction, lost or delayed data transmission, omission, interruption, deletion, line failure or malfunction of any telephone network, computer equipment or software, the inability to access any website or online service or any other error, human or otherwise.
TERMINATION OF CONTEST
Sponsor reserves the right, in its sole and absolute discretion, to cancel, terminate, modify, or suspend the Contest, including in the event tampering, unauthorized human intervention, fraud, or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Contest. Sponsor reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the Contest entry process or the operation of the Contest or otherwise violates the Contest rules.
INTELLECTUAL PROPERTY RIGHTS AND WARRANTY
By entering the Contest, the entrant warrants and represents that the entry submitted by the entrant, including the written description and the media attachments, is its own original work created entirely by the entrant, that the entrant owns or otherwise controls all of the intellectual property rights to the entry (including, without limitation, the rights in any photographs, music, video clips or writing) and that the media attachments submitted by entrant do not violate any law, regulation, or any right of any third party, including but not limited to rights of copyright, trademark, patent, publicity and/or privacy. Further, each entrant acknowledges and accepts that submitting an entry that is copyrighted, or contains trademarks, or describes patented concepts, or is otherwise subject to the rights of another individual or entity, makes the entrant solely responsible for any legal action the legal rights holder might take in relation to such entry. Subject to the foregoing and the remainder of these Official Rules, including, without limitation, the Additional Rights Granted by Prize Winner section, as between Sponsor and each entrant, the applicable entrant retains all right, title and interest in and to its entry.
The Contest and its entire contents, features and functionality (including, but not limited to, all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof) are, as between each entrant and Sponsor, owned by Sponsor and are protected by United States and international copyright, trademark, patent and other intellectual property and proprietary rights laws. Entrants are prohibited from accessing or using for any commercial purposes any part of the Contest or any services or materials available through the Contest. No right, title or interest in or to the Contest or any Contest content is transferred to any entrant, and all rights not expressly granted are reserved by Sponsor. Any reproduction, processing, storage, communication, transmission and playback or forwarding of the Contest content is explicitly prohibited without the prior written approval of Sponsor.
INDEMNIFICATION AND LIMITATION OF LIABILITY
BY ENTERING THE CONTEST, EACH ENTRANT AGREES TO INDEMNIFY, RELEASE AND HOLD HARMLESS EACH MEMBER OF THE SPONSOR GROUP, AND ALL OF THEIR RESPECTIVE OFFICERS, DIRECTORS, PERSONNEL, EMPLOYEES, REPRESENTATIVES AND AGENTS FROM ANY LIABILITY, DAMAGES, LOSSES OR INJURY, INCLUDING, WITHOUT LIMITATION, PROPERTY DAMAGE, DEATH OR BODILY INJURY (WHETHER DUE TO NEGLIGENCE OR OTHERWISE), RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THAT ENTRANT’S PARTICIPATION IN THE CONTEST, ANY CONTEST RELATED AND/OR TRAVEL RELATED ACTIVITY, AND/OR OTHER PARTICIPATION IN ANY CONTEST RELATED ACTIVITIES, AND THE ACCEPTANCE, USE OR MISUSE OF ANY PRIZE THAT MAY BE WON. NO MEMBER OF THE SPONSOR GROUP MAKES ANY WARRANTIES, EXPRESS OR IMPLIED, AS TO THE CONDITION, FITNESS OR MERCHANTABILITY OF THE PRIZE. EACH MEMBER OF THE SPONSOR GROUP, AND ALL THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, PERSONNEL, REPRESENTATIVES AND AGENTS EXPRESSLY DISCLAIM ANY AND ALL LIABILITY ARISING FROM OR RELATED TO THE CONTEST, INCLUDING FOR DAMAGE TO ANY COMPUTER SYSTEM RESULTING FROM ACCESS TO OR THE DOWNLOAD OF INFORMATION OR MATERIALS CONNECTED WITH THE CONTEST. FOR THE AVOIDANCE OF DOUBT, NO MEMBER OF THE SPONSOR GROUP MAKES ANY WARRANTY OR GUARANTEE OF ANY KIND THAT AN ENTRANT OR ANY ENTRY WILL ACHIEVE ANY INTENDED RESULT OR THAT ANY MEMBER OF THE SPONSOR GROUP WILL COLLABORATE WITH, FURTHER EVALUATE, PURSUE, IMPLEMENT, RETURN, INVEST IN, DEVELOP, ASSIST, SUPPORT OR OTHERWISE USE ANY ENTRANT OR ENTRY OR THAT ANY MEMBER OF THE SPONSOR GROUP WILL PROVIDE STATUS UPDATES, EVALUATIONS, FEEDBACK, DECISIONS OR SIMILAR INFORMATION TO THE ENTRANT REGARDING ITS ENTRY OR OTHERWISE.
INVALIDITY
The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Headings and captions are used in these Official Rules solely for ease of reference, and shall not be deemed to affect in any manner the meaning or intent of these Official
Rules or any provision hereof. The Official Rules cannot be modified or amended in any manner except in writing by a duly authorized representative of Sponsor.
GOVERNING LAW
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations as between entrant and the Sponsor in connection with the Contest shall be governed by and construed in accordance with the internal laws of the State of Michigan including procedural provisions without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s or jurisdiction’s laws. These Official Rules constitute the sole and entire agreement between each entrant and Sponsor with respect to the subject matter contained herein and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to same.
DISPUTES
As a condition of participating in the Contest, each entrant agrees that any and all disputes of any nature whatsoever which cannot be resolved between the parties and any causes of action arising out of or connected with this Contest shall be resolved individually before a court located in the State of Michigan having jurisdiction. Further, in any such dispute, under no circumstances will an entrant be permitted to obtain awards for and hereby expressly waives all rights to claim punitive, incidental, special, indirect or consequential damages including any attorneys’ fees, or damages for loss of revenue, loss of profits or loss of business, and each entrant further waives to the maximum extent permitted by applicable law all rights to have damages multiplied or increased.
